1. Agreement to These Terms

These Terms and Conditions govern access to and use of Ledger, a bookkeeping and accounting support application operated by Shirt Brain Custom Products, Inc. (“Shirt Brain,” “we,” “us,” or “our”). By accessing or using Ledger, connecting Ledger to QuickBooks Online, or authorizing Ledger to access accounting information, you agree to these Terms.

2. Purpose of Ledger

Ledger is designed to help Shirt Brain organize, review, summarize, and support accounting and bookkeeping workflows. Ledger may connect to QuickBooks Online or related Intuit services to retrieve accounting information and, when specifically authorized, assist with draft accounting actions. Ledger is not a substitute for professional accounting, tax, legal, or financial advice.

3. Authorized Use

You may use Ledger only for lawful business purposes and only with accounts, data, and systems that you are authorized to access. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs through your authorized access.

4. QuickBooks and Third-Party Services

Ledger may integrate with QuickBooks Online and other third-party services. Those services are provided by their respective companies and are governed by their own terms, privacy policies, permissions, and service availability. Shirt Brain is not responsible for third-party platforms, outages, data handling, or changes to third-party APIs.

5. Accounting Data and Review

Ledger may help identify transactions, generate summaries, prepare draft records, or support bookkeeping workflows. You remain responsible for reviewing, approving, and verifying any accounting information, reports, classifications, records, or actions before relying on them. No automated output should be treated as final financial, tax, or legal advice without appropriate human review.

6. Restrictions

You agree not to misuse Ledger, attempt unauthorized access, interfere with the application or connected services, introduce malicious code, use Ledger to violate any law or regulation, or access accounting data without proper authorization.

7. Availability and Changes

Ledger may be updated, changed, interrupted, suspended, or discontinued at any time. We may change features, integrations, access requirements, or supported workflows as business needs and third-party platform requirements evolve.

8. Disclaimer of Warranties

Ledger is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Shirt Brain disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, and non-infringement.

9. Limitation of Liability

To the fullest extent permitted by law, Shirt Brain will not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, or for lost profits, lost revenue, lost data, business interruption, accounting errors, or tax consequences arising from use of Ledger or connected third-party services.

10. Termination

We may suspend or terminate access to Ledger at any time if we believe the application is being misused, if continued access creates security or compliance risk, or if access is no longer needed for business operations. You may disconnect Ledger from QuickBooks Online through your Intuit account or by contacting us.

11. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.
